Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, platform, and communications provided by MDO Labs LLC ("MDO Labs," "we," "our," or "us"), including our website at mdolabs.dev, our WhatsApp Business Account, the okAndi language tutor (okAndi.app), and any related tools or applications (collectively, the "Services").

By accessing or using our Services — including initiating a conversation through our WhatsApp Business channel or logging in through our Meta-connected application — you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Description of Services

MDO Labs LLC is a technology and operations company providing business software, AI-powered workflow tools, and communications infrastructure to small businesses and entrepreneurs. Our Services may include:

• Business operations and workflow automation tools.
• WhatsApp Business messaging and human-in-the-loop communication services.
• Marketplace and vendor management platforms.
• Consulting, integration, and advisory services.
• okAndi, a language tutor for practising spoken Spanish (see section 12).
• Any other services we make available from time to time.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.

Eligibility

To use the Services, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business entity, you further represent that you have authority to bind that entity to these Terms.

okAndi is the exception: it is written for high-school students and adults and has its own age rules, set out in section 12.

Accounts & Access

Certain features of our Services may require you to authenticate via a Meta or Facebook login or provide contact information through WhatsApp. You are responsible for maintaining the confidentiality of any credentials associated with your access and for all activities that occur under your account.

You agree to:

• Provide accurate and complete information when registering or communicating with us.
• Notify us immediately of any unauthorized use of your account.
• Not share your credentials or allow others to access the Services through your account.

We reserve the right to suspend or terminate access to the Services if we reasonably suspect unauthorized use or a violation of these Terms.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to transmit spam, unsolicited messages, or deceptive communications.
• Attempt to reverse-engineer, scrape, or otherwise interfere with the technical operation of our Services.
• Use the Services to violate any applicable local, national, or international law or regulation.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Upload or transmit viruses, malware, or any other malicious code.
• Use the Services in any manner that could damage, disable, overburden, or impair our systems.

Intellectual Property

All content, software, trademarks, logos, and materials made available through the Services are the property of MDO Labs LLC or our licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

You retain ownership of any content you submit or transmit to us through the Services. By submitting content, you grant MDO Labs a limited, non-exclusive license to use that content solely to provide and improve the Services.

Third-Party Services & Platforms

Our Services integrate with or operate on top of third-party platforms including Meta, WhatsApp, and others. Your use of those platforms is subject to their respective terms and policies, which are independent of these Terms. We are not responsible for the practices, content, or availability of third-party services.

Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We make no representations regarding the accuracy or completeness of any content provided through the Services.

Limitation of Liability

To the fullest extent permitted by applicable law, MDO Labs LLC and its members, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from the Services shall not exceed the greater of (a) the amount you paid us for the Services in the three months preceding the claim, or (b) USD $100.

Indemnification

You agree to indemnify, defend, and hold harmless MDO Labs LLC and its members, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in English. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

okAndi

These additional terms apply to okAndi (okAndi.app), our language tutor. Where they differ from the rest of these Terms, this section applies to okAndi.

Who can use it

• You must be 13 or older to use okAndi on your own. If you are under 18, please read these Terms with a parent or guardian and use okAndi with their permission.
• A student under 13 may use okAndi only through a school that has approved it and signed a data agreement with us, for school work only.
• Teacher and parent accounts are for adults.

Beta

okAndi is in beta. It is provided as it is, features will change, and things will sometimes break. Your practice history is kept on your own device during the beta; please keep your own backup if it matters to you.

What is free, and what is paid

• Every lesson is free. The drill, reviews, streaks and progress are free for every learner. Upgrades add features, never content.
• Free student accounts will include 20 translations and 20 voice transcriptions each month.
• Teacher and parent accounts are free, with classes, rosters, assigning lessons and seeing who practised.
• The teacher upgrade will be $150 a year or $19.99 a month, and adds Google Classroom integration, lesson building and unlimited translation and transcription for the teacher’s own account. It does not change students’ allowances.
• Both upgrades are free for early users until July 2027. You will not be charged for them before then.

Nothing is for sale yet. The price, what it includes and how often you are charged will be shown before you buy. Renewal, cancellation and refunds are governed by our Refund & Cancellation Policy, which is part of these Terms: subscriptions renew automatically until cancelled, you can cancel at any time, and we refund in full within 7 days of a monthly charge or 30 days of a yearly charge. Subscriptions bought in the iPhone or Android app will be billed, cancelled and refunded by Apple or Google under their rules; purchases on the web will be handled by Stripe; schools will be able to pay by invoice.

Learning, and AI

• okAndi helps you practise. We do not promise any particular result, grade or level of fluency.
• Translations and the scores okAndi gives an answer are produced by software on your device, including AI models. They can be wrong. Your own grade is always the record, and a score is feedback, not an assessment of you.

Our content, and yours

• okAndi’s lessons, stories, recordings and software belong to MDO Labs LLC. You may use them to learn and to teach your own classes. You may not copy, resell or republish them.
• Replies you save and lessons you build are yours. You give us permission to store and show them so okAndi can work for you and, if you are a teacher, for your class.

Teachers and schools

If you add students to a class, you are responsible for having the right to do so under your school’s rules. Student information you can see in okAndi is for teaching only.
